Business/company registration in Myanmar isn’t as hard as many people think. You just need to be familiar with the guidelines and the process will be very easy. There are two main options for foreign investors wishing to register businesses/companies in Myanmar. Businesses requiring substantial investment i.e. construction, manufacturing, mining etc. require registration under foreign investment law. Smaller businesses i.e. foreign service providers and trading companies can simply register under MCA (Myanmar Companies Act).

Registration under foreign investment law in Myanmar

100% Foreign owned companies/ businesses and joint ventures between public/private foreign companies with Myanmar nationals or the Myanmar government are registered under the foreign investment law. Joint ventures require a minimum foreign stake of 35% of a business/company share capital. The minimum capital requirement is $500,000. In practice however business entities normally invest between $1,000,000 and $2,000,000 depending on factors such as the nature and size of the investment. In case foreign investors prefer joint ventures with the government, registration can be done under the 1950 Special Company Act.

Steps for registering a business/company under foreign investment law

1. Applying for an MIC (Myanmar Investment Commission) permit

Companies/businesses under the foreign investment must first apply for an MIC permit to be able to enjoy a 3 year tax holiday.
